Last Updated: Septemeber 18, 2026

IMPORTANT NOTICE

PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE ACCESSING OR USING TICKETDESK. BY CREATING AN ACCOUNT, ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE SERVICE.

THESE TERMS INCLUDE IMPORTANT PROVISIONS CONCERNING DISCLAIMERS OF WARRANTIES, LIMITATIONS OF LIABILITY, INDEMNIFICATION, AND DISPUTE RESOLUTION. PLEASE REVIEW THESE PROVISIONS CAREFULLY.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and JDi d/b/a TicketDesk ("TicketDesk," "Company," "we," "our," or "us") governing your access to and use of the TicketDesk website, customer support management platform, applications, software, integrations, and related services (collectively, the "Service").

By creating an account, purchasing a subscription, accessing, or using the Service, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy, which is incorporated into these Terms by reference.

If you are using the Service on behalf of a company, agency, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, "you" and "your" include that entity.

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service, by email, or by other reasonable means. Your continued use of the Service after the effective date of revised Terms constitutes acceptance of the revised Terms.

2. Description of the Service

TicketDesk is a cloud-based customer service and support management platform that enables businesses and agencies to organize, manage, track, and resolve customer support requests and related service activities.

The Service may include features such as:

.> Customer ticket submission and management

.> Ticket routing, assignment, and workflow automation

> Team collaboration and internal communications

> Service-level agreement (SLA) management

> Time tracking and reporting

> Customer portals

> Account, team, and user management

> Reporting and analytics

> CRM integrations and synchronization

> Other features and functionality that we may introduce or modify from time to time

TicketDesk is provided as a software-as-a-service ("SaaS") offering. We may add, modify, suspend, or discontinue features or functionality from time to time.

We do not guarantee that any particular feature will remain available indefinitely.

3. Eligibility and Account Registration

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service.

To create an account, you agree to provide accurate, current, and complete information and to maintain the accuracy of that information.

You are responsible for:

> Maintaining the confidentiality of your account credentials;

> All activity conducted through your account;

> Ensuring that authorized users access the Service only as permitted by your subscription;

> Promptly notifying us of unauthorized access or suspected security incidents; and

> Maintaining appropriate security practices for your account and users.

If you create an account for an organization, you are responsible for ensuring that your use of the Service complies with your organization's policies and applicable law.

4. Account Administrators and Authorized Users

An account owner or administrator may authorize additional users to access the Service.

The account owner is responsible for managing authorized users, assigning appropriate permissions, and ensuring that all users comply with these Terms.

Unless otherwise provided by your subscription plan, you are responsible for activity conducted by users you authorize to access your account.

You may not share individual login credentials between multiple individuals where doing so is intended to circumvent account, user, or subscription limitations.

5. Subscriptions, Fees, and Billing

5.1 Subscription Plans

TicketDesk offers subscription plans with different features, usage limits, and pricing. Current plans and pricing are published on our website.

We may change pricing or subscription features from time to time. Price changes affecting existing subscribers will be communicated in advance where required by applicable law.

5.2 Free Trial

TicketDesk may offer a free trial period for eligible new accounts.

If a payment method is required, you authorize TicketDesk or its payment processor to charge that payment method when the trial period ends unless you cancel before the end of the trial.

If you cancel during the trial period, you will not be charged for the subsequent paid subscription.

We reserve the right to limit or restrict repeated use of free trials.

5.3 Billing

Subscription fees are billed in advance according to the billing period selected at purchase.

You authorize TicketDesk and its payment processor to charge your selected payment method for applicable subscription fees, taxes, and other amounts due under your subscription.

All fees are stated exclusive of applicable taxes unless expressly stated otherwise. You are responsible for applicable sales, use, VAT, or similar taxes, except taxes based on TicketDesk's net income.

5.4 Automatic Renewal

Unless otherwise stated, subscriptions automatically renew for successive billing periods unless canceled before the applicable renewal date.

You authorize TicketDesk or its payment processor to charge the payment method on file for each renewal.

5.5 Cancellation

You may cancel your subscription through your account or by contacting us through the available support channels.

Unless otherwise stated, cancellation becomes effective at the end of the current paid billing period. You will generally retain access through the end of that period.

Except where required by law or expressly provided under a separate refund policy, subscription fees are non-refundable.

5.6 Failed Payments

If a payment is declined or otherwise fails, we may attempt to process the payment again and may suspend or restrict access to the Service until the outstanding balance is resolved.

5.7 Refunds

Unless otherwise required by applicable law or expressly stated in these Terms, all subscription fees and other charges are non-refundable.

TicketDesk provides a 14-day free trial to allow you to evaluate the Service before being charged. You may cancel your subscription at any time during the trial period without

incurring a charge. If you do not cancel before the trial period ends, your subscription will automatically convert to the selected paid plan and the applicable subscription fee will be charged to your payment method.

After a subscription has converted to a paid plan, cancellation will prevent future recurring charges but will not entitle you to a refund or credit for any unused portion of the current billing period. This applies to monthly subscription fees, plan changes, and other recurring subscription charges, except where a refund is expressly provided by these Terms or required by applicable law.

TicketDesk may, at its sole discretion, issue a refund or account credit in exceptional circumstances. Any such refund or credit does not establish an obligation to provide refunds or credits in similar circumstances in the future.

Nothing in this section limits any non-waivable rights or remedies you may have under applicable law.

You remain responsible for amounts properly incurred before cancellation or termination.

6. Acceptable Use

You agree to use the Service only for lawful and legitimate business purposes.

You may not use the Service to:

> Violate any applicable law or regulation;

I> Infringe, misappropriate, or violate the intellectual-property, privacy, publicity, or other rights of another person;

> Upload or transmit malware, viruses, malicious code, or other harmful material;

> Conduct phishing, fraud, impersonation, or other deceptive activity;

> Send unlawful spam or unsolicited communications;

> Attempt to gain unauthorized access to the Service or another user's account;

> Interfere with or disrupt the Service, servers, networks, or infrastructure;

> Circumvent security, access controls, usage limits, or other technical restrictions;

> Reverse engineer, decompile, disassemble, or attempt to derive source code from the Service, except to the extent expressly permitted by applicable law;

> Use automated systems, scraping, bots, or similar methods to access the Service except as expressly authorized;

> Upload content that is unlawful, threatening, abusive, defamatory, obscene, or otherwise inappropriate;

> Collect, process, or transmit personal information without an appropriate legal basis or required consent;

> Use the Service to facilitate unlawful activity; or

> Resell, sublicense, lease, distribute, or commercially exploit the Service except as expressly authorized by TicketDesk.

We may investigate suspected violations and may suspend or terminate accounts or access where reasonably necessary to protect the Service, users, or third parties.

7. Customer Data and User Content

For purposes of these Terms, "Customer Data" means information, records, files, communications, tickets, attachments, and other content submitted to or stored in the Service by you or your authorized users.

You retain ownership of your Customer Data.

You grant TicketDesk a limited, non-exclusive, worldwide license to host, store, reproduce, process, transmit, and otherwise use Customer Data solely as reasonably necessary to provide, maintain, secure, support, and improve the Service, comply with applicable law, and enforce these Terms.

You represent and warrant that you have all rights, permissions, and legal authority necessary for TicketDesk to process Customer Data as contemplated by these Terms.

You are responsible for the legality, accuracy, quality, and content of Customer Data and for determining what information is appropriate to submit to the Service.

8. Data Protection and Privacy

Our collection and use of personal information is described in our Privacy Policy.

You are responsible for providing any notices and obtaining any consents required by applicable law for your collection, use, and disclosure of personal information through the Service.

Where you use TicketDesk to process information belonging to your customers, employees, clients, or other third parties, you remain responsible for determining and maintaining the appropriate legal basis and permissions for that processing.

TicketDesk may access, preserve, or disclose information where reasonably necessary to comply with law, legal process, enforce these Terms, investigate suspected violations, or protect the rights, property, safety, or security of TicketDesk, its users, or others.

9. Data Security

We use reasonable administrative, technical, and organizational measures designed to protect information processed through the Service.

However, no internet-based service can be guaranteed to be completely secure. You acknowledge that transmission and storage of information through the internet involves inherent risks.

You are responsible for maintaining appropriate security of your account credentials, devices, networks, and authorized users.

You should not submit information to the Service that you are prohibited by law, regulation, contract, or applicable industry requirements from processing through a third-party SaaS platform.

10. Data Retention and Deletion

Following cancellation or termination, your access to Customer Data may cease at the end of the applicable subscription or termination period.

We may retain or delete Customer Data in accordance with our operational practices, legal obligations, security requirements, and applicable policies.

Unless otherwise agreed in writing, TicketDesk does not guarantee indefinite retention or recovery of Customer Data following account termination.

You are responsible for maintaining appropriate backups of information that you require independently of the Service.

11. Intellectual Property

The Service and all related software, technology, designs, interfaces, documentation, trademarks, logos, graphics, content, and other materials provided by TicketDesk are owned by TicketDesk or its licensors and are protected by applicable intellectual-property laws.

Subject to your compliance with these Terms and payment of applicable fees, TicketDesk grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription solely for your internal business purposes.

Except as expressly permitted by these Terms, you may not copy, modify, reproduce, distribute, sell, license, lease, create derivative works from, or exploit the Service or any portion thereof.

TicketDesk retains all rights not expressly granted to you.

12. Feedback

If you provide suggestions, ideas, recommendations, or other feedback regarding the Service, you grant TicketDesk the right to use that feedback without restriction or compensation to you.

This does not grant TicketDesk ownership of your Customer Data or confidential business information.

13. Third-Party Services and Integrations

The Service may integrate with or provide links to third-party platforms, applications, services, payment processors, APIs, or other technologies ("Third-Party Services").

Your use of Third-Party Services is subject to the applicable third party's terms, policies, and privacy practices.

TicketDesk does not control and is not responsible for the availability, functionality, accuracy, security, policies, or performance of Third-Party Services.

Changes to a Third-Party Service, including API changes, access restrictions, outages, pricing changes, or discontinuation, may affect TicketDesk functionality.

TicketDesk is not responsible for losses resulting from your use of or reliance upon a Third-Party Service.

14. Payment Processing

Payments for TicketDesk subscriptions may be processed by third-party payment providers.

TicketDesk does not store complete payment-card information when payment processing is handled by a third-party payment processor.

Your payment information is subject to the applicable payment processor's terms and privacy policy.

15. Service Availability and Modifications

TicketDesk will use commercially reasonable efforts to maintain the availability of the Service but does not guarantee uninterrupted or error-free operation.

The Service may occasionally be unavailable due to maintenance, upgrades, outages, security incidents, infrastructure failures, third-party services, or circumstances beyond our reasonable control.

We reserve the right to modify, suspend, or discontinue all or any portion of the Service.

Nothing in these Terms obligates TicketDesk to maintain any particular feature, integration, or functionality indefinitely.

16. Disclaimers of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

TICKETDESK DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

TICKETDESK DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, ACCURATE, COMPLETE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT DEFECTS WILL ALWAYS BE CORRECTED.

TICKETDESK DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR PARTICULAR BUSINESS REQUIREMENTS.

TO THE EXTENT PERMITTED BY LAW, YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TICKETDESK AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SERVICE PROVIDERS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TICKETDESK'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

1.> THE TOTAL FEES PAID BY YOU TO TICKETDESK FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR

ONE HUNDRED U.S. DOLLARS (US $100).

2.> THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH LIABILITY IS ASSERTED AND EVEN IF TICKETDESK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, the limitations apply only to the maximum extent permitted by applicable law.

18. Indemnification

You agree to defend, indemnify, and hold harmless TicketDesk and its affiliates, officers, directors, employees, agents, licensors, service providers, and suppliers from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

> Your use or misuse of the Service;

> Your violation of these Terms;

> Your Customer Data or User Content;

> Your violation of applicable law;

> Your violation of another person's rights;

> Your unauthorized use of the Service; or

> Claims arising from your relationship with your customers, employees, clients, or other end users.

TicketDesk reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification, and you agree to reasonably cooperate with that defense.

19. Suspension and Termination

You may terminate your account at any time in accordance with the cancellation provisions of these Terms.

> TicketDesk may suspend or terminate your access to the Service if:

> You materially violate these Terms;

> You fail to pay amounts due;

> Your use presents a security, legal, or operational risk;

> Your account is used for fraudulent or unlawful activity; or

> We discontinue the applicable Service.

Where reasonably practicable, we may provide notice and an opportunity to cure a violation before termination, except where immediate action is reasonably necessary.

Upon termination, your right to use the Service ends. Provisions that by their nature should survive termination will survive, including provisions concerning intellectual property, payment obligations, disclaimers, limitations of liability, indemnification, and dispute resolution.

20. Copyright Infringement / DMCA

TicketDesk respects the intellectual-property rights of others.

If you believe that material available through the Service infringes your copyright, you may submit a copyright infringement notice containing the information required under applicable law.

21. Electronic Communications

By using the Service, you consent to receive electronic communications from TicketDesk concerning your account, subscription, security, transactions, Service updates, and other matters related to your use of the Service.

Electronic communications satisfy any legal requirement that such communications be provided in writing, to the extent permitted by applicable law.

22. Confidentiality

Each party may receive non-public information belonging to the other party that is reasonably understood to be confidential.

Each party agrees to use reasonable care to protect confidential information and to use it only as necessary to perform its obligations or exercise its rights under these Terms.

Confidentiality obligations do not apply to information that is publicly available through no breach of these Terms, was lawfully known before disclosure, is independently developed, or is lawfully obtained from a third party without confidentiality restrictions.

23. Force Majeure

TicketDesk will not be liable for any failure or delay caused by circumstances beyond its reasonable control, including natural disasters, acts of God, war, terrorism, civil unrest, governmental actions, labor disputes, internet or telecommunications failures, infrastructure failures, widespread cybersecurity incidents, pandemics, or failures of third-party providers.

24. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service will be resolved in accordance with the dispute-resolution procedures and governing law specified below.

The parties shall submit any dispute concerning the interpretation of or the enforcement of rights and duties under this Agreement to final and binding arbitration. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules & Procedures (“Rules”). The arbitration shall be conducted by a single, neutral arbitrator, in San Diego, California. Except as otherwise agreed upon by the parties in writing, the arbitrator shall be a retired judge of the California Superior Court, a California Appellate Court or of any Federal Court located in California selected in accordance with the JAMS Rules. The arbitrator shall be bound by the statutes and case law of the State of California, and shall render a written arbitration award setting forth the essential findings and conclusions on which the award is based. Judgment on the award may be entered in any court of competent jurisdiction. The arbitrator may, in the award, allocate all or part of the costs of the arbitration, including the fees of the arbitrator and the reasonable attorneys’ fees of the prevailing party. The parties shall be entitled to discovery pursuant to the provisions of California Code of Civil Procedure Section 1283.05, the provisions of which are incorporated herein. A party may apply to a court of competent jurisdiction for relief in the form of a temporary restraining order or preliminary injunction, or other provisional remedy pending final determination of a claim through arbitration in accordance with this paragraph. If proper notice of any hearing has been given, the arbitrator will have full power to proceed to take evidence and/or to perform any other acts necessary to arbitrate the matter in the absence of any party who fails to appear. EACH PARTY HERETO VOLUNTARILY WAIVES ANY RIGHT IT MAY HAVE TO A JURY TRIAL.

25. Governing Law

These Terms will be governed by the laws of the State of Californa, without regard to its conflict-of-law provisions, except to the extent federal law or applicable mandatory law provides otherwise.

Any dispute not subject to arbitration will be brought in the courts located in San Diego, California, and the parties consent to the jurisdiction of those courts, subject to applicable law.

26. General Provisions

Entire Agreement

These Terms, together with the Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and TicketDesk concerning your use of the Service.

Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in effect.

Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent, except in connection with a merger, acquisition, or sale of substantially all of your assets where permitted by law.

TicketDesk may assign these Terms in connection with a merger, acquisition, corporate restructuring, or sale of all or substantially all of its assets.

No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights unless expressly stated otherwise.

Relationship of the Parties

These Terms do not create a partnership, joint venture, agency, franchise, or employment relationship between you and TicketDesk.
